1. Agreement to These Terms

These Terms of Service govern the use of the website at https://www.aipropx.lat and the property analysis services provided by AIPROPX LLC, a company with its principal office at 361 E Susan Cir, Sandy - 84070-3438, United States (US). By reading the website, sending an enquiry or commissioning an engagement, you agree to be bound by these terms. If you do not accept them, please do not use the site or the services.

AI PropX is the development identity behind the analysis tools used in our practice. When these terms refer to we, us or our, they mean AIPROPX LLC together with the AI PropX development effort. When they refer to you, they mean the individual or organisation using the website or engaging the services.

If you are accepting these terms on behalf of an organisation, you confirm that you have authority to bind that organisation, and the words you and your include that organisation. If you do not have that authority, you must not accept these terms on its behalf.

These terms are written in plain prose and are organised into numbered sections with a table of contents so that you can locate the provision that applies to your situation. A separate written engagement letter may add to or vary these terms for a specific project. Where the engagement letter and these terms conflict, the engagement letter controls for that project.

2. Description of the Services

AIPROPX LLC operates a computer systems design and property analysis practice. The services described on this website include valuation review reports, comparable market scans, portfolio insight briefs, rental yield studies, listing readiness checks and data quality audits. Each service is described on the services page, and the scope of any particular engagement is agreed in writing before work begins.

The services involve the analysis of property records, market data and related documents supplied by the client. They do not include legal advice, tax advice, accounting advice, investment advice or the provision of a licensed appraisal where a jurisdiction requires one. We do not act as a broker, an agent or a fiduciary for any transaction. If you need a licensed opinion of value for a regulated purpose, you must obtain it from a professional authorised to provide it.

We may add, change or withdraw services over time. The description of a service on the website is an invitation to discuss an engagement and is not a binding offer. A binding agreement arises only when a written engagement letter has been accepted by both parties.

3. Eligibility and Acceptable Use

You may use this website only for lawful purposes and only in a manner that does not interfere with the operation of the site or the enjoyment of other visitors. You must be at least eighteen years of age and legally capable of entering into a contract to commission the services.

You agree not to attempt to gain unauthorised access to any part of the site or to any system connected to it, not to introduce malicious code, not to scrape the site at a rate that burdens the hosting provider, and not to reproduce substantial portions of the site content for commercial use without written permission.

You agree to provide accurate information when you contact us, including a working email address and a truthful description of the property or portfolio that you wish to discuss. We may decline or terminate an engagement if we discover that information supplied to us was materially false or misleading.

4. Client Responsibilities

The quality of an analysis depends on the quality of the material supplied to it. You agree to provide the records, documents and access that the engagement requires, in a format that can be read by our systems, and to identify any known defect in those records at the time you supply them. If a document is incomplete, out of date or disputed, you agree to tell us so that we can account for it in the analysis.

You are responsible for obtaining any consent that is required before you share third party information with us, including information about tenants, co owners or other individuals. You confirm that you have a lawful basis to share the information that you send, and that sending it does not breach any confidence or contractual restriction that applies to you.

You agree to review the deliverables within a reasonable period after delivery and to notify us promptly of any error or omission that you discover. We will correct a genuine error at no additional charge. A request for a change of scope is handled as a new piece of work under the change process described below.

5. Quotations, Fees and Payment

Fees are quoted in writing before an engagement begins. A quotation states the scope, the deliverables, the delivery date and the fee, and it remains open for thirty days unless it states otherwise. Work begins when you accept the quotation in writing, and any deposit stated in the quotation becomes payable at that point.

Unless the quotation states a fixed fee, work is charged on a time and materials basis at the rates stated in the quotation, and we will notify you if the projected effort is likely to exceed the quoted estimate by more than fifteen per cent before the excess is incurred.

Invoices are payable within fourteen days of the invoice date unless the quotation says otherwise. Late payment may attract interest at one per cent per month on the outstanding balance, calculated from the due date until payment is received. We may suspend work on an engagement while an undisputed invoice remains unpaid after a written reminder.

All fees are exclusive of applicable taxes. You are responsible for any sales, use, value added or withholding tax that applies to the engagement, except for taxes on our own income. Each party bears its own travel and administrative costs unless the engagement letter provides otherwise.

6. Changes to Scope

The scope of an engagement is described in the engagement letter. If you ask for work that falls outside that scope, we will estimate the additional effort and provide a written change note before starting. Work on the additional item begins when you accept the change note.

If circumstances change in a way that materially affects the work, such as the discovery of a large volume of unusable records, we will discuss the options with you. The options may include adjusting the fee, extending the delivery date, narrowing the analysis or stopping the engagement. We will not make a material change to scope or fee without your written agreement.

A change that is agreed in writing becomes part of the engagement and is governed by these terms in the same way as the original scope.

7. Deliverables and Licence

On payment in full, we grant you a perpetual, worldwide, non exclusive licence to use the deliverables of the engagement for your internal business purposes and for the purposes described in the engagement letter. The licence covers the written report, the structured dataset and the supporting notes that we deliver.

Ownership of the methods, templates, code and internal documentation that we use to produce the deliverables remains with AIPROPX LLC. The licence does not permit you to resell the deliverables as a standalone product, to publish them as a substitute for our services, or to grant sublicences without our written consent.

You may share the deliverables with your professional advisers, lenders, boards and counterparties where that sharing is connected to the purpose of the engagement. You may not remove our attribution from a deliverable when it is shared outside your organisation.

8. Intellectual Property of the Website

The text, layout, graphics and styling of this website are the property of AIPROPX LLC and are protected by copyright and other intellectual property laws. You may read the site, print a single copy for personal reference and quote short passages with attribution. Any other reproduction, distribution or creation of derivative works requires our prior written permission.

Third party names and marks that appear on the site remain the property of their respective owners. Their appearance does not imply any endorsement or affiliation unless an express statement says so.

9. Confidentiality

We treat the information that you supply for an engagement as confidential. We will not disclose it to a third party except to a service provider that needs it to support the engagement, to a professional adviser bound by confidentiality, or where the law requires disclosure. Service providers receive only the information necessary for their function and are bound by contract to keep it confidential.

You agree to keep confidential the methods, pricing structures and internal documentation that we share with you in the course of an engagement. This obligation does not apply to information that is already public, that you already held without a duty of confidence, or that you are required to disclose by law.

The confidentiality obligations in this section survive the end of the engagement for a period of five years, except for information that constitutes a trade secret, which remains protected for as long as it qualifies as a trade secret.

10. Accuracy, Estimates and Professional Judgement

Our analysis is based on the information available at the time of the work. Property markets move, records are corrected and circumstances change. A finding that was accurate on the delivery date may no longer describe the position six months later. You are responsible for deciding whether a deliverable remains suitable for a later decision and for asking us to refresh it if necessary.

Estimates of value, rent, yield and cost are professional judgements supported by evidence, not guarantees. We state the assumptions that underlie each estimate so that a reader can see how sensitive the conclusion is to those assumptions. A different analyst, working with the same evidence, might reach a somewhat different figure.

We do not warrant that a property will sell for a particular price, that a rent will be achieved, that a lender will approve a loan, or that a buyer will accept a particular conclusion. The decision to act on a report belongs to you, and you should weigh our findings alongside the advice of your own legal, tax and financial advisers.

11. Limitation of Liability

To the maximum extent permitted by law, AIPROPX LLC will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profit, loss of revenue, loss of opportunity, loss of data or loss of goodwill, however those losses arise and whether or not we were advised of the possibility.

To the maximum extent permitted by law, the total aggregate liability of AIPROPX LLC arising out of or in connection with an engagement will not exceed the total fees paid by you for that engagement during the twelve months preceding the event that gave rise to the claim.

Nothing in these terms excludes or limits liability for fraud, for wilful misconduct, for death or personal injury caused by negligence, or for any liability that cannot lawfully be excluded. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the provisions above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless AIPROPX LLC, its members, employees and contractors from any claim, demand, loss or expense, including reasonable legal fees, that arises from your breach of these terms, from your failure to obtain a required consent before sharing third party information, or from a misuse of a deliverable that you supply to a third party.

We agree to indemnify and hold harmless you from any claim that a deliverable, in the form we supplied it, infringes the intellectual property rights of a third party, provided that you notify us promptly and give us control of the defence. This indemnity does not apply where the claim arises from material that you supplied or from a modification that you made.

13. Disclaimers Regarding Third Party Data

Our analysis often relies on data from third party sources, including listing portals, public records, market data vendors and client systems. We take reasonable care to verify that data and to flag obvious inconsistencies, but we cannot guarantee that a third party source is complete, current or free from error.

Where a conclusion depends on third party data, the report identifies the source and the date on which the data was retrieved. You should not treat the retrieval date as a warranty that the data is still accurate. If a critical decision depends on a particular data point, we recommend that you verify it against a primary source before acting.

References to third party providers on this website do not constitute an endorsement of their services, and we are not responsible for their acts or omissions.

14. Termination and Suspension

Either party may terminate an engagement with fourteen days written notice. On termination you remain liable for the fees for work performed up to the termination date and for any non cancellable commitments that we have made in support of the engagement. We will deliver the work product that has been completed and paid for.

We may suspend or terminate an engagement immediately if you fail to pay an undisputed invoice after a written reminder, if you ask us to act in a way that would breach the law or a professional obligation, or if your conduct makes it unreasonable for the engagement to continue.

On termination we will return or delete the client data that you supplied, according to your instruction, except for copies that we are required to retain for legal, tax or insurance purposes. The sections on confidentiality, intellectual property, limitation of liability and governing law survive termination.

15. Privacy and Data Protection

Our Privacy Policy explains how we collect, use, store and protect personal information. It forms part of these terms, and by accepting these terms you acknowledge that you have read it. A link to the Privacy Policy appears in the footer of every page of this website.

Where you supply information about other individuals, you confirm that you have the right to do so and that the processing we perform on your instruction is lawful. Where a client organisation engages us as a processor, the client remains the controller of that information and a separate data processing agreement may be entered into.

If a data protection law requires a particular contractual term, we will include that term in the engagement letter or in a separate agreement on request.

16. Governing Law and Dispute Resolution

These terms are governed by the laws of the State of Utah, United States, without regard to its conflict of law rules. The courts located in Salt Lake County, Utah, have exclusive jurisdiction over any dispute that is not resolved through the process described below.

Before starting legal proceedings, the parties agree to attempt to resolve the dispute in good faith. The party raising the dispute will send a written notice describing the issue and the outcome sought. The parties will then hold at least one meeting, in person or by video, within thirty days of the notice. If the dispute remains unresolved after that meeting, either party may proceed to the courts.

Nothing in this section prevents either party from seeking urgent injunctive relief where a delay would cause irreparable harm, or from pursuing a claim in a small claims court where the amount in dispute is within that court jurisdiction.

17. Changes to These Terms

We may update these terms from time to time to reflect changes in our services, in the law or in our business practices. The updated version will carry a new effective date at the top of the page. If a change is material, we will notify active clients by email at least fourteen days before it takes effect.

A change applies to new engagements from its effective date. For an engagement that is already in progress, the terms that applied when the engagement letter was accepted continue to govern unless both parties agree in writing to adopt the new version.

We encourage you to review this page periodically. The version that appears on this website is the current version and supersedes all earlier versions for future engagements.

18. General Provisions

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions continue in full force, and the invalid provision is replaced by a valid provision that most closely reflects the original intention. The failure of a party to enforce a right on one occasion does not waive that right on a later occasion.

These terms, together with the engagement letter and the Privacy Policy, constitute the entire agreement between the parties on the subjects they cover. They supersede any earlier proposal, discussion or representation that is not repeated in those documents. A variation must be in writing and accepted by both parties.

You may not assign an engagement to another organisation without our written consent. We may assign an engagement to an affiliated entity or to a successor in a reorganisation, provided that the successor accepts the obligations described in these terms.

19. Electronic Communications and Records

You agree that we may communicate with you electronically, including by email and by shared document links, and that those communications satisfy any legal requirement that a communication be in writing. You are responsible for keeping your email address current and for monitoring the inbox that you use for engagement correspondence. If an email bounces, we may pause the engagement until a working address is provided.

Electronic records of an engagement, including emails, change notes, drafts and delivered files, constitute the record of the work performed. Where a signature is required for an engagement letter or a change note, an electronic acceptance through the channel we designate has the same effect as a handwritten signature. You should retain the delivered files in your own archive, because our retention period for engagement records is described in the Privacy Policy and is not indefinite.

We may record the date and time at which a document is delivered or accepted, together with the address to which it was sent, in order to resolve any later question about what was agreed. This record is kept with the engagement file and is handled in the same confidential manner as the rest of that file.

20. How to Contact Us
